Terms and Conditions

By applying to and/or enrolling in a Course, each Applicant and Student acknowledges and agrees to the Terms and Conditions as specified below.

Each reference to “Applicant” and “Student” in these Terms and Conditions shall be deemed to include such Applicant’s and such Student’s parents, legal guardians or caretakers (as applicable).

Enrolment

An Applicant may be required to take a pre-course assessment for Mini Miracles to determine the Applicant’s suitability to attend a Course. Subject to the results of the assessment, a time-slot for a Course may be assigned to the Applicant. The results of the assessment shall be valid for three months. Mini Miracles may reject any Applicant who, in its sole discretion, is not suitable for the Course or is detrimental to the general welfare of Mini Miracles.

Mini Miracles may discontinue a Student’s enrolment at any time in its sole discretion, including (without limitation) due to a Student’s non-payment or underpayment of the Course Fees, poor attendance, disruptive behaviour during class, or any behaviour that, in the sole opinion of Mini Miracles, disrupts Mini Miracles’ operations or causes a negative impact on other Students’ learning.

Mini Miracles may, without prior notice, change the instructor and/or groupings of Students for any Course as Mini Miracles deems, in the sole opinion, appropriate or necessary.

Payment of Fees and Validity

Tuition fees are charged on a course basis and the Course Fees shall be paid in advance of an Applicant or a Student attending a Course. Mini Miracles has the right to preclude an Applicant or a Student from attending class if the Course Fees have not been received within the timeframe as indicated below or as otherwise notified to the Applicant or the Student in writing.

In relation to Term Courses:

  • Course Fees shall be paid on a monthly basis.
  • Course Fees shall be paid before the commencement of the first class of the Term Course.
  • Paid Term Courses are valid for one month starting from the date of the first class, subject to the terms under “Make-up Class Arrangements” below.

In relation to Holiday Courses, full payment of Course Fees shall be made before the commencement of the Holiday Course.

All Course Fees shall be paid by way of cash, cheque (payable to “Mini Miracles Limited”) or bank transfer.

For any late payment of the Course Fees, Mini Miracles reserves the right to charge an administrative fee of 10% of the relevant Course Fee.

Mini Miracles also reserves the right to charge a HK$50 administrative fee for each cheque returned by the remitting bank.

Cancellations and Refunds

In case of closure of the centre prior to the commencement of a Course, Mini Miracles will refund the Course Fees paid by the Students in full immediately.

If a Course cannot be operated according to the arrangements specified in the fee receipts or on the date or at the time specified in the course leaflet and a Student declines the revised arrangements offered by Mini Miracles, Mini Miracles will refund in full or on a pro-rata basis (as applicable) the Course Fees paid by the Student, provided that if Mini Miracles is required or requested by applicable law, regulation or any regulatory authority (including the Hong Kong Education Bureau) to change the format of any class from a face-to-face format to an online format, Mini Miracles will not offer any refund to the extent legally permissible.

In case of cessation of a Course after its commencement, Mini Miracles will refund to the Course Fees paid by the Students on a pro-rata basis.

Mini Miracles will refund the relevant amount to the Students either in cash or by cheque.

Other than as stated above, all classes, including missed classes and make-up classes, are non-refundable and non-transferrable between Students and Courses.

In relation to Term Courses:

  • Students are required to notify Mini Miracles of their absence by way of email or phone call at least six hours before the start of the class. Subject to the terms under “Make-up Class Arrangements” below, Mini Miracles reserves the right to charge for any class and is not required to arrange for any make-up classes if no such prior notice is given (provided that the Student may collect any class materials for any missed class within one week of the missed class), unless it is of a special circumstance (to be determined by Mini Miracles in its sole discretion, including (without limitation) where the Student is absent due to sickness, evidenced by a doctor’s note).
  • If a Student cannot attend classes for a period of two weeks or less and the Student would like to retain his/her class time-slot at Mini Miracles, he/she is required to provide prior notice to Mini Miracles.
  • If a Student cannot attend classes for a period of more than two weeks, Mini Miracles reserves the right in its sole discretion to release the Student’s class time-slot.

Make-up Class Arrangements

In relation to all Term Courses:

  • In the event a Student has notified Mini Miracles of his/her absence in accordance with the terms under “Cancellation and Refunds” above and:
    • the Student’s absence is supported by a doctor’s note:
      • if Mini Miracles is of the opinion that the Student does not require a make-up class, the Student’s missed class will be credited to the following month; or
      • if Mini Miracles is of the opinion that the Student requires a make-up class, Mini Miracles will arrange a make-up class to take place prior to the Student’s next class without any additional charge; or
    • the Student’s absence is not supported by a doctor’s note, Mini Miracles will arrange a make-up class for the Student to take place prior to the Student’s next class without any additional charge, provided that if the Student misses more than one class within a calendar month without producing a doctor’s note, Mini Miracles reserves the right to charge an additional fee for the make-up class(es) for such missed class(es). The additional fee for each such make-up class shall be the difference in fees between a private class and a group class, and shall be paid to Mini Miracles prior to the date of the make-up class.
  • Unless it is of a special circumstance (which is to be determined by Mini Miracles in its sole discretion), if the Student is unable to attend the make-up class for any missed class based on the timeslots offered by Mini Miracles, Mini Miracles shall reserve the right to charge the Student for the missed class, provided that the Student may collect any class materials for the missed class within one week of the missed class. For the avoidance of doubt, in respect of any online class, if (i) Mini Miracles has provided the Student with class materials prior to the Student providing Mini Miracles notice of his/her absence in accordance with the terms under “Cancellation and Refunds” and (ii) if the Student is unable to attend the make-up class for the missed class based on the timeslots offered by Mini Miracles, the Student shall be charged for the missed class.
  • Make-up classes for missed classes are non-refundable and non-transferable between Students or Courses.

The following applies to all Term Courses:

  • Mini Miracles will not guarantee any make-up class with the original class instructor or at the date or time requested by the Student. The final arrangement for all make-up classes is to be decided by Mini Miracles in its sole discretion.

In relation to Holiday Courses:

  • Mini Miracles does not offer any make-up classes or refunds for missed classes.
  • Students may collect class materials from any missed class within one week of the missed class.

Course Withdrawal

A Student is required to provide Mini Miracles with at least four weeks’ prior notice if the Student would like to withdraw from a Course.

Adverse Weather Conditions and Public Holidays

Classes will not be held when the Black Rainstorm Warning Signal or Typhoon Signal No. 8 or higher are hoisted.

If a signal is cancelled or lowered to Typhoon Signal No. 3, Typhoon Signal No. 1, Red Rainstorm Warning Signal or Amber Rainstorm Warning Signal, classes will proceed as usual two hours after such warnings are cancelled or lowered (for the avoidance of doubt, Mini Miracles will charge for any such class if a Student is absent from such class).

Mini Miracles is closed on all public holidays and Sundays and classes will not be held on such days.

Privacy

Mini Miracles may use a Student’s work or achievement for quality control, internal staff training, promotional or educational purposes without that Student’s prior consent (including, but not limited to, posting the Student’s work online or in the centre).

Photographs and videos may be taken at the centre by Mini Miracles or personnel hired by Mini Miracles from time to time, including during class time. Mini Miracles reserves all rights and interests to images and footages taken. Unless as otherwise notified in writing, all Applicants and Students agree to be photographed or taped and such photographs or videotapes may be used by Mini Miracles for quality control, internal staff training, promotional or educational purposes.

Applicants, Students, parents, legal guardians, caretakers and related persons must refrain from taking photographs and videos at the centre at all times, whether during class time or outside of class.

Liability

Mini Miracles shall not be liable to any Applicant or Student for any direct (including loss of profit), indirect or consequential loss arising under or in connection with any Course or any other service provided by Mini Miracles, or the use of Mini Miracles’ centre or website.

Nothing in these Terms and Conditions shall limit or exclude Mini Miracles’ liability for death or personal injury caused by its negligence, fraud, misrepresentation as to a fundamental matter or any liability that may not be limited or excluded by applicable laws.

Mini Miracles’ liability for any direct, indirect or consequential loss (including loss caused by negligence) shall be reduced to the extent that an Applicant or Student caused or contributed to that loss. To the extent that any liability of Mini Miracles cannot be excluded but Mini Miracles is able to limit its liability, the maximum aggregate liability for all claims arising under or in connection with any Course or any other service provided by Mini Miracles, or the use of Mini Miracles’ centre, shall be limited to an amount equal to the aggregate amount of fees Mini Miracles received from the Applicant or Student.

Each Applicant and Student agrees to indemnify and hold Mini Miracles and its directors, officers, employees, consultants, advisers and agents harmless from any and all claims, liabilities, costs, damages, losses and expenses, including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs and all other professional costs and expenses, suffered or incurred by any of foregoing parties arising out of or in connection with the Applicant’s or Student’s breach or violation of any applicable laws and regulations or of any of these Terms and Conditions. Mini Miracles reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Applicant or the Student, and in such case, the Applicant or the Student shall cooperate with Mini Miracles’ defense of such claim.

For the avoidance of doubt, in respect of classes conducted online, Mini Miracles shall not be liable to any Student for any Connection Issues. If any Student experiences any Connection Issues during a class, Mini Miracles reserves the right to charge the Student for the class. Mini Miracles’ website is provided on an “as is” and “as available” basis, without warranty of any kind, including (without limitation) any warranty regarding access, availability, accuracy, completeness, or compatibility with your network, software or hardware, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose. Mini Miracles shall not be liable to any Applicant or Student for any damages to, or viruses that may infect, the Applicant’s or the Student’s computer equipment, mobile device, or other property in connection with the Applicant’s or the Student’s access to or use of Mini Miracles’ website, or any data that the Applicant or the Student may lose as a result of accessing Mini Miracles’ website.

Intellectual Property

All class materials used by class instructors and distributed to Students (including notes, worksheets, assessments and tests, whether in physical or electronic copy) remain the property of Mini Miracles and/or its affiliates. Mini Miracles agrees to grant to Students a non-exclusive, royalty free, non-assignable, non-transferable and revocable licence to use such materials solely for each Student’s personal non-commercial study. Students are prohibited from reproducing, distributing or sharing, in whole or in part, any class materials with other parties without the express prior written consent of Mini Miracles.

All rights and interests in any intellectual property arising as a result of any class, tuition or any services provided by Mini Miracles belong solely to Mini Miracles and/or its affiliates.

If Mini Miracles is of the view that any Student has infringed Mini Miracles’ intellectual property, Mini Miracles reserves the right to take all appropriate action, including (without limitation) commencing legal proceedings to seek compensation and other remedies.

Communication with Class Instructors

Each Applicant and Student shall not solicit any person information from any of Mini Miracles’ class instructors, and shall inform Mini Miracles immediately if any class instructor discloses their personal information to you or propose any meeting or conversation with you which is not authorised by Mini Miracles. In the event that any Applicant or Student does not comply with the foregoing, Mini Miracles reserves the right to take all appropriate action, including (without limitation) rejecting the Applicant’s application to engage Mini Miracles for its services and terminating the Student’s enrolment in any Course.

Amendment

Mini Miracles reserves the right to amend these Terms and Conditions at its sole discretion without any prior notice. Any such amendment will be effective when it is posted on Mini Miracles’ website or as notified to you. The Applicant or Student’s continued engagement with Mini Miracles after any amendments are posted on Mini Miracles’ website or notified to you will be deemed as acceptance of such amendments.

Enforceability

If any provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect the validity and enforceability of the other provisions of these Terms and Conditions to the extent that they are valid, legal and enforceable.

No failure or delay by Mini Miracles in exercising any right or remedy under these Terms and Conditions shall be deemed as a waiver of that right or remedy or shall affect Mini Miracles’ ability to subsequently exercise that right or remedy. Any waiver must be agreed by Mini Miracles in writing.

Governing Law and Jurisdiction

This legal notice shall be governed by and construed in accordance with the laws of Hong Kong.

Any dispute or claim arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the Hong Kong courts.

Definitions
In these Terms and Conditions:

“Applicant” means any student and his/her legal guardian who makes an application to engage Mini Miracles for its services (including any Course);

“Connection Issues” means any problems, conditions, delays or delivery failures arising from or relating to online classes conducted by Mini Miracles, including in respect of network connections, internet connections or telecommunications links;

“Course” means any phonics, grammar and speech course (including any Term Course and Holiday Course) or other related services offered by Mini Miracles, whether conducted through face-to-face or online classes;

“Course Fees” mean the sum due by the Applicant or Student to Mini Miracles for participation in any Course;

“Holiday Course” means any short-term course offered by Mini Miracles which is not categorised as a Term Course;

“Hong Kong” means the Hong Kong Special Administrative Region;

“Mini Miracles” means Mini Miracles Limited, a company incorporated and registered under the laws of Hong Kong with company number 3028502;

“Student” means any student and his/her legal guardian who has engaged Mini Miracles for its services (including any Course); and

“Term Course” means any course offered by Mini Miracles which consists of regular classes each week.

“Student” means any student and his/her legal guardian who has engaged Mini Miracles for its services (including any Course); and

  • Prior to signing up to the Ace It Admissions Package, we will provide a face-to-face or online consultation during which we can learn about the education goals for the student and explain our services.

 

  • After the consultation, we will arrange for the student to undergo an assessment, provided that a non-refundable deposit of HK$500 is paid in advance. After the assessment is completed, we will provide preliminary feedback based on the results. If the student signs up to the Ace It Admissions Package within three months of the assessment date, the deposit will be deducted from the cost of the Ace It Admissions Package. Otherwise, the deposit will be forfeited by the parents. Subject to this paragraph, the deposit is non-refundable and non-transferrable between students and between courses.

 

  • After signing up to the Ace It Admissions Package, we will provide comprehensive feedback based on the assessment results, as well as a proposed school list, taking into account of the student’s assessment results and education goals. We will arrange up to two meetings with the parents to discuss the proposed school list. The school list is required to be finalised within two weeks from the date on which the initial school listed was provided.

 

  • Once the parents confirm the school list, the school list is final for purposes of the Ace It Admissions Package and no further changes are permitted, unless with our prior written consent. Any proposed modifications to the final school list may be treated as an additional school application, as determined in our sole discretion.

 

  • We will assist with the application process for each school on the final school list, including reviewing up to four drafts of each portfolio, application question and essay, in each case as required by the school. Any modification after the fourth draft is provided will be subject to further charges.

 

  • The parents will be solely responsible for submitting the application (whether in hard copy or online) to each school, provided that we will submit the application on behalf of the student if (a) it is agreed to by us and the parents in writing, (b) the parents have paid to us an amount equal to the fees and expenses required for the application at least one week prior to the application submission date, (c) the parents have approved all of the content of the application in writing at least one business day prior to the application submission date and (d) any other requirement as determined by us are satisfied. For the avoidance of doubt, fees and expenses to be paid to each school for the application(s) are not included in the Ace It Admissions Package.

 

  • After an application has been submitted to a school, any modification to the application or any additional information to be submitted to the school will be subject to the school’s policies.

 

  • Each Ace It Admissions Package is only applicable for school applications for one academic year for each student.

 

  • The Ace It Admissions Package requires parents to provide us with correct and relevant information in respect of the student in a timely manner. If correct and relevant information is not provided in a timely manner, we may not be able to assist with the school applications.

 

  • We do not guarantee any successful outcome in any school application. We provide guidance for school applications based on, among other things, historical assessment criteria, market information and our experience. The assessment criteria of each school (including the interpretation and the application of such criteria) are subject to change, and we do not guarantee that the guidance we provide will align with the latest assessment criteria (including the interpretation and the application of such criteria) of any school.

 

  • In the case of any disputes, we reserve the right of final decision on all matters relating to the Ace It Admissions Package, which will be binding on all of the parties concerned.

 

  • We reserve the right to suspend, vary or terminate these terms and conditions at any time without prior notice.
  • If a student is interested in enrolling in the Impressive Interviews Programme, we will arrange for the student to undergo an assessment, provided that a non-refundable deposit of HK$500 is paid in advance.

 

  • After the assessment is completed, we will provide feedback based on the assessment results. If the student enrolls in the Impressive Interviews Programme within three months of the assessment date, the deposit will be deducted from the cost of the Impressive Interviews Programme. Otherwise, the deposit will be forfeited. Subject to this paragraph, the deposit is non-refundable and non-transferrable between students and courses.

 

  • After a student enrolls in the Impressive Interviews Programme, we will prepare a tailored curriculum for the student, taking into account of the student’s assessment results and education goals.

 

  • The Impressive Interviews Programme consists of a minimum of six classes. All classes must be used within three months after the student enrolls in the Impressive Interviews Programme. Any classes not used within this time period will be forfeited.

 

  • We do not guarantee any successful outcome in any school interview. We provide guidance and training to students for school interviews based on, among other things, historical assessment criteria, market information and our experience. The assessment criteria of schools (including the interpretation and the application of such criteria) are subject to change, and we do not guarantee that the guidance and training we provide to students align with the latest assessment criteria (including the interpretation and the application of such criteria) of relevant schools.

 

  • In the case of any disputes, we reserve the right of final decision on all matters relating to the Impressive Interviews Programme, which shall be binding on all the parties concerned.
