Terms and Conditions

By applying to and/or enroling in a Course, each Applicant and Student acknowledges and agrees to the Terms and

Conditions as specified below.

Each reference to “Applicant” and “Student” in these Terms and Conditions shall be deemed to include such

Applicant’s and such Student’s parents, legal guardians or caretakers (as applicable).

  1. Enrolment
    1. General
      1. New Students are accepted on a first come first serve basis, but priority will be given to existing students.
      2. Mini Miracles may reject any Applicant who, in Mini Miracles’ sole discretion, is not suitable for the course or is detrimental to the general welfare of Mini Miracles.
      3. Mini Miracles may discontinue a Student’s enrolment at any time in its sole discretion, including (without limitation) due to a Student’s non-payment or underpayment of the Course Fees, poor attendance, disruptive behaviour during class, or any behaviour that, in the sole opinion of Mini Miracles, disrupts Mini Miracles’ operations or causes a negative impact on other Students’ learning.
      4. If an Applicant is offered a time slot for a Course but does not accept it within the required timeframe, the Applicant will be removed from the waiting list for the Course.
    2. Assessments
      1. An Applicant may be required to take a pre-course assessment for Mini Miracles to determine the Applicant’s suitability to attend a Course.
      2. If an assessment for a Course has been scheduled for the Applicant and the Applicant requests Mini Miracles to reschedule the assessment, Mini Miracles will reschedule the assessment without charging any fees if:
        1. the Applicant provides his or her request to reschedule the assessment at least six hours prior to the assessment; or
        2. the Applicant has requested to reschedule the assessment due to sickness, as evidenced by a doctor’s note.
      3. Other than in the scenarios as described in paragraph 1.2.2, if an assessment for a Course has been scheduled for the Applicant but the Applicant does not attend the assessment, Mini Miracles reserves the right to:
        1. not reschedule the assessment; and
        2. remove the Applicant from the waiting list for the relevant Course.
      4. In respect of the rescheduled assessment pursuant to paragraph 1.2.2:
        1. if the Applicant requests to reschedule the assessment due to sickness, as evidenced by a doctor’s note, Mini Miracles will reschedule the assessment without charging any fees; and
        2. other than in the scenario as described in paragraph 2.4.1, if the Applicant does not attend the rescheduled assessment, Mini Miracles reserves the right to:
          1. not reschedule the assessment; and
          2. remove the Applicant from the waiting list for the relevant Course.
      5. Subject to the results of the assessment, a time slot for a Course may be assigned to the Applicant. If the Applicant does not accept the time slot for a Course within the required timeframe, the Applicant will be removed from the waiting list for the Course pursuant to paragraph 1.1.4, and the validity period of the completed assessment for the Applicant’s application for the relevant Course is three months.
      6. If the Applicant does not commence classes for the Course within the validity period of the assessmentas referred to in paragraph 1.2.5 for any reason, the Applicant is required to complete a new assessment, and an administrative fee of HK$300 will be charged for such new assessment. Whether or not a time slot for the Course will be assigned to the Applicant after the new assessment shall be determined in Mini Miracle’s sole discretion.
  2. Classes
    1. Mini Miracles may, without prior notice to Applicants and Students, change the instructor and/or groupings of Students for any Course as Mini Miracles deems, in the sole opinion, appropriate or necessary (including where the original class instructor is absent for any reason). In the event no instructor can be arranged by Mini Miracles for any class, the class will be cancelled and the class will be credited towards the Student’s account.
    2. If the Student is the only student remaining in a group class, the class will be classified as an “open” group class. An open group class will continue for a maximum of eight lessons or until another student joins the open group class. If no additional student joins the open group class prior to the completion of the aforementioned eight lessons, Mini Miracles reserves the right to terminate the class.
    3. After the end of each academic year, Mini Miracles reserves the right to change the time slots for any Course assigned to the Student for any reason. If the Student does not consent to the amended time slots, Mini Miracles reserves the right to discontinue the Student’s enrolment in the Course.
  3. Payment of Fees and Validity
    1.  General
      1. Tuition fees are charged on a course basis and, unless as otherwise specified below, the Course Fees shall be paid prior to the earlier of (a) the seventh day of the month in which the classes relating to such Course Fees are to be held and (b) the date on which the first class relating to such Course Fees is to be held. Mini Miracles has the right to preclude an Applicant or a Student from attending class if all outstanding Course Fees have not been received within the required payment date or as otherwise notified to the Applicant or the Student in writing.
      2. All Course Fees shall be paid by way of cash, cheque (payable to “Mini Miracles Limited”) or bank transfer.
      3. For any late payment of the Course Fees (regardless of whether such Course Fees relate to one or more Courses), Mini Miracles reserves the right to (a) charge an initial administrative fee of HK$200, as well as an additional administrative fee of HK$200 for each one month period after the required payment date which the Course Fees remain outstanding until all outstanding Course Fees and administrative fees are paid, and/or (b) discontinue the Student’s enrolment without notice.
      4. In addition to the fees set out in paragraph 3.1.3, Mini Miracles reserves the right to charge a HK$50 administrative fee for each cheque returned by the remitting bank.
    2. Term Courses
      1. Where the Student’s enrolment in any Course is confirmed by Mini Miracles, the Course Fees to be initially paid by the Student shall consist of (a) the Course Fees for the classes to be held in the month which the payment date falls and (b) if the number of classes to be held in the month which the payment date falls is less than three, the Course Fees for the classes to be held in the subsequent month. Such Course Fees shall be paid within three days after confirmation on the Student’s enrolment.
      2. Subject to paragraph 3.2.1, Course Fees shall be paid on a monthly basis.
      3. Paid Term Courses are valid for one month starting from the date of the first class, subject to the terms under “Absence and Make-up Class Arrangements” below, provided that in the event paragraph 3.2.1(b) applies, the Paid Term Course will be valid for two months starting from the date of the first class.
    3. Holiday Courses
      1. Full payment of Course Fees shall be made prior to the date on which the first class of the Holiday Course is to be held.
  4. Absence and Make-up Class Arrangements
    1. Term Courses – General
      1. If a Student cannot attend classes for a period of two weeks or less and the Student would like to retain his/her class time slot at Mini Miracles, he/she is required to provide prior notice to Mini Miracles.
      2. If a Student cannot attend classes for a period of more than two weeks, Mini Miracles reserves the right in its sole discretion to release the Student’s class time slot.
    2. Term Courses – Make-up Classes
      1. In the event a Student has notified Mini Miracles of his/her absence by way of WhatsApp message or phone call at least six hours before the start of the class and the Student’s absence is supported by a doctor’s note, if Mini Miracles is of the opinion that (a) the Student does not require a make-up class, the Student’s missed class will be credited to the following month, or (b) the Student requires a makeup class, Mini Miracles will arrange a make-up class to take place prior to the Student’s next class without any additional charge.
      2. In the event a Student has notified Mini Miracles of his/her absence by way of WhatsApp message or phone call at least six hours before the start of the class and the Student’s absence is not supported by a doctor’s note, Mini Miracles will arrange a make-up class for the Student to take place prior to the Student’s next class without any additional charge, provided that if the Student misses more than one class within a calendar month without producing a doctor’s note, Mini Miracles shall charge an additional fee for each of the second and subsequent make-up class(es). The additional fee for each such make-up class shall be HK$200.
      3. Make-up classes may be conducted via a group class or a private class, as determined by Mini Miracles in its sole discretion.
      4. If a make-up class has been scheduled for the Student and the Student requests Mini Miracles to reschedule the make-up class, Mini Miracles will reschedule the make-up class without charging any fees if:
        1. the Student provides his or her request to reschedule the make-up class at least six hours prior to the make-up class; or
        2. the Student has requested to reschedule the make-up class due to sickness, as evidenced by a doctor’s note.
      5. Other than in the scenarios as described in paragraph 4.2.4, if a make-up class has been scheduled for the Student but the Student does not attend the make-up class, Mini Miracles reserves the right to:
        1. not reschedule the make-up class; and
        2. deem the make-up class as forfeited.
      6. In respect of the rescheduled make-up class pursuant to paragraph 4.2.4:
        1. if the Student requests to reschedule the make-up class due to sickness, as evidenced by a doctor’s note, Mini Miracles will reschedule the make-up class without charging any fees; and
        2. other than in the scenario as described in paragraph 4.2.6.1, if the Student does not attend the rescheduled make-up class, Mini Miracles reserves the right to:
          1. not reschedule the make-up class; and
          2. deem the make-up class as forfeited.
      7. If the make-up class is deemed forfeited pursuant to paragraph 4.2.5.2 or paragraph 4.2.6.2.2, the Student will be charged for the original missed class, and the Student may collect any class materials for the missed class within one week of the missed class.
    3. Term Courses – Catch-Up Classes
      1. If the Student is in a group class and fails to attend three or more consecutive classes for any Course, the Student may be required to pay for and attend one-on-one catch-up classes at Mini Miracles prior to returning to the group class. The number of catch-up classes that is required for the Student will be decided by the instructor responsible for the group class. If the Student fails to attend the required catch-up classes, Mini Miracles reserves the right to allocate the Student to another group class.
      2. Paragraphs 4.2.4 to 4.2.7 in respect of the scheduling and attendance of make-up classes shall apply to the scheduling and attendance of catch-up classes.
    4. Term Courses – Additional Terms applying to Make-up Classes and Catch-Up Classes
      1. Make-up classes for missed classes and catch-up classes are non-refundable and non-transferable between Students or Courses.
      2. Mini Miracles will not guarantee any make-up class or catch-up class with the original class instructor or at the date or time requested by the Student.
      3. The final arrangement for all make-up classes and catch-up classes is to be decided by Mini Miracles in its sole discretion.
    5. Holiday Courses:
      1. Mini Miracles does not offer any make-up classes or refunds for missed classes.
      2. Students may collect class materials from any missed class within one week of the missed class.
  5. Course Withdrawal
    1. A Student is required to provide Mini Miracles with at least four weeks’ prior notice if the Student would like to withdraw from a Course. Failure to provide such notice prior to withdrawal will result in a charge equivalent to four weeks’ fees for the relevant Course.
  6. Refunds
    1. In case of closure of the centre prior to the commencement of a Course, Mini Miracles will refund the Course Fees paid by the Student in full immediately.
    2. If a Course cannot be operated according to the arrangements specified in the fee receipts or on the date or at the time specified in the course leaflet and a Student declines the revised arrangements offered by Mini Miracles, Mini Miracles will refund in full or on a pro-rata basis (as applicable) the Course Fees paid by the Student, provided that if Mini Miracles is required or requested by applicable law, regulation or any regulatory authority (including the Hong Kong Education Bureau) to change the format of any class from a face-to-face format to an online format, Mini Miracles will not offer any refund to the extent legally permissible.
    3. In case of cessation of a Course after its commencement, Mini Miracles will refund to the Course Fees paid by the Student on a pro-rata basis.
    4. Mini Miracles will refund the relevant amount to the Student either in cash, by cheque or bank transfer.
    5. Other than as specified in this paragraph 6, all classes, including missed classes, make-up classes and catchup classes, are non-refundable and non-transferrable between Students and Courses.
  7. Adverse Weather Conditions and Public Holidays
    1. Classes will not be held when the Black Rainstorm Warning Signal or Typhoon Signal No. 8 or higher are hoisted.
    2. If a signal is cancelled or lowered to Typhoon Signal No. 3, Typhoon Signal No. 1, Red Rainstorm Warning Signal or Amber Rainstorm Warning Signal, classes will proceed as usual two hours after such warnings are cancelled or lowered (for the avoidance of doubt, Mini Miracles will charge for any such class if a Student is absent from such class).
    3. Mini Miracles is closed on all public holidays and Sundays and classes will not be held on such days.
  8. Privacy
    1. Mini Miracles will use your personal data (including name, telephone number, fax number, email and mailing addresses) for the purpose of providing you with information about any Courses, news, events relating to Mini Miracles and its Applicants and Students.
    2. Mini Miracles may use a Student’s work or achievement for quality control, internal staff training, promotional or educational purposes without that Student’s prior consent (including, but not limited to, posting the Student’s work online or in the centre).
    3. Photographs and videos may be taken at the centre by Mini Miracles or personnel hired by Mini Miracles from time to time, including during class time. Mini Miracles reserves all rights and interests to images and footages taken. Unless as otherwise notified in writing, all Applicants and Students agree to be photographed or taped and such photographs or videotapes may be used by Mini Miracles for quality control, internal staff training, promotional or educational purposes.
    4. Applicants, Students, parents, legal guardians, caretakers and related persons must not at any time take photographs or videos at the centre, whether during class time or outside of class, without the prior written consent of Mini Miracles.
    5. Mini Miracles’ centre is monitored by CCTV for safety and training purposes.
  9. Liability
    1. Mini Miracles shall not be liable to any Applicant or Student for any direct (including loss of profit), indirect or consequential loss arising under or in connection with any Course or any other service provided by Mini Miracles, or the use of Mini Miracles’ centre or website.
    2. Nothing in these Terms and Conditions shall limit or exclude Mini Miracles’ liability for death or personal injury caused by its negligence, fraud, misrepresentation as to a fundamental matter or any liability that may not be limited or excluded by applicable laws.
    3. Mini Miracles’ liability for any direct, indirect or consequential loss (including loss caused by negligence) shall be reduced to the extent that an Applicant or Student caused or contributed to that loss. To the extent that any liability of Mini Miracles cannot be excluded but Mini Miracles is able to limit its liability, the maximum aggregate liability for all claims arising under or in connection with any Course or any other service provided by Mini Miracles, or the use of Mini Miracles’ centre, shall be limited to an amount equal to the aggregate amount of fees Mini Miracles received from the Applicant or Student.
    4. Each Applicant and Student agrees to indemnify and hold Mini Miracles and its directors, officers, employees, consultants, advisers and agents harmless from any and all claims, liabilities, costs, damages, losses and expenses, including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs and all other professional costs and expenses, suffered or incurred by any of foregoing parties arising out of or in connection with the Applicant’s or Student’s breach or violation of any applicable laws and regulations or of any of these Terms and Conditions. Mini Miracles reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by the Applicant or the Student, and in such case, the Applicant or the Student shall cooperate with Mini Miracles’ defence of such claim.
    5. For the avoidance of doubt, in respect of classes conducted online, Mini Miracles shall not be liable to any Student for any Connection Issues. If any Student experiences any Connection Issues during a class, Mini Miracles reserves the right to charge the Student for the class. Mini Miracles’ website is provided on an “as is” and “as available” basis, without warranty of any kind, including (without limitation) any warranty regarding access, availability, accuracy, completeness, or compatibility with your network, software or hardware, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose. Mini Miracles shall not be liable to any Applicant or Student for any damages to, or viruses that may infect, the Applicant’s or the Student’s computer equipment, mobile device, or other property in connection with the Applicant’s or the Student’s access to or use of Mini Miracles’ website, or any data that the Applicant or the Student may lose as a result of accessing Mini Miracles’ website.
  10. Intellectual Property
    1. All class materials used by class instructors and distributed to Students (including notes, worksheets, assessments and tests, whether in physical or electronic copy) remain the property of Mini Miracles and/or its affiliates. Mini Miracles agrees to grant to Students a non-exclusive, royalty free, non-assignable, nontransferable and revocable licence to use such materials solely for each Student’s personal non-commercial study. Students are not permitted to reproduce, distribute or share, in whole or in part, any class materials with other parties without the express prior written consent of Mini Miracles.
    2. All rights and interests in any intellectual property arising as a result of any class, tuition or any services provided by Mini Miracles belong solely to Mini Miracles and/or its affiliates.
    3. If Mini Miracles is of the view that any Student has infringed Mini Miracles’ intellectual property, Mini Miracles reserves the right to take all appropriate action, including (without limitation) commencing legal proceedings to seek compensation and other remedies.
  11. Communication with Class Instructors
    1. Each Applicant and Student shall not solicit any personal information from any of Mini Miracles’ class instructors, and shall inform Mini Miracles immediately if any class instructor discloses their personal information to you or propose any meeting or conversation with you which is not authorised by Mini Miracles. Each Applicant and Student is not permitted to approach any class instructor of Mini Miracles for lessons outside of Mini Miracles’ centre.
    2. In the event that any Applicant or Student does not comply with the foregoing, Mini Miracles reserves the right to take all appropriate action, including (without limitation) rejecting the Applicant’s application to engage Mini Miracles for its services and terminating the Student’s enrolment in any Course.
  12. Amendment
    1. Mini Miracles reserves the right to amend these Terms and Conditions at its sole discretion without any prior notice. Any such amendment will be effective when it is posted on Mini Miracles’ website or as notified to you. The Applicant or Student’s continued engagement with Mini Miracles after any amendments are posted on Mini Miracles’ website or notified to you will be deemed as acceptance of such amendments.
  13. Enforceability
    1. Mini Miracles retains the right of final decision and interpretation in all matters and disputes in relation to these Terms and Conditions.
    2. If any provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect the validity and enforceability of the other provisions of these Terms and Conditions to the extent that they are valid, legal and enforceable.
    3. No failure or delay by Mini Miracles in exercising any right or remedy under these Terms and Conditions shall be deemed as a waiver of that right or remedy or shall affect Mini Miracles’ ability to subsequently exercise that right or remedy. Any waiver must be agreed by Mini Miracles in writing.
  14. Governing Law and Jurisdiction
    1. This legal notice shall be governed by and construed in accordance with the laws of Hong Kong.
    2. Any dispute or claim arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the Hong Kong courts.
  15. Definitions
    1. In these Terms and Conditions:
      Applicant” means any student and his/her legal guardian who makes an application to engage Mini Miracles for its services (including any Course);
      Connection Issues” means any problems, conditions, delays or delivery failures arising from or relating to online classes conducted by Mini Miracles, including in respect of network connections, internet connections or telecommunications links;
      Course” means any phonics, grammar and speech course (including any Term Course and Holiday Course) or other related services offered by Mini Miracles, whether conducted through face-to-face or online classes;
      Course Fees” mean the sum due by the Applicant or Student to Mini Miracles for participation in any Course;
      Holiday Course” means any short-term course offered by Mini Miracles which is not categorised as a Term Course;
      Hong Kong” means the Hong Kong Special Administrative Region;
      Mini Miracles” means Mini Miracles Limited, a company incorporated and registered under the laws of Hong Kong with company number 3028502;
      Student” means any student and his/her legal guardian who has engaged Mini Miracles for its services (including any Course); and
      Term Course” means any course offered by Mini Miracles which consists of regular classes each week.
